Terms of Service

The agreement between you and PaperKeep.

Please read this first.

  • It is an organizer and a reminder, not a backup, a vault, or an official record. PaperKeep keeps your documents tidy and warns you before things expire. That is the whole job.
  • Treat the reminders, and the dates we read off your paperwork, as help, not promises. The app can misread a date, and a reminder can come late or not at all: your phone might be off, notifications might be switched off, or your OS or time zone might shift under it. Checking your own important dates, and renewing on time, stays with you.
  • Keep your own copy of anything you cannot afford to lose, and never let PaperKeep be the only place an important document lives. Sections 3 and 13 cover this in full.

1Agreement to Terms

These Terms of Service ("Terms") form a binding agreement between you and Esprizzle Inc. ("Esprizzle", "we", "us", "our") concerning your use of the PaperKeep mobile application for iPhone and iPad and the paperkeep.esprizzle.com website (together, the "Service"). By downloading, installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not install or use the Service.

2About PaperKeep

PaperKeep is a consumer app for iPhone and iPad. It scans, imports, and organizes documents right on your device, and it reads a likely expiry or renewal date off a document so it can warn you before the date arrives. You can sort documents into folders, lock folders or documents behind Face ID, Touch ID, or your passcode, split and merge PDFs, export as PDFs or images, and make QR codes. Turn it on and it will also sync through your own iCloud account.

It is a convenience, and we want to be plain about what it is not. PaperKeep is not a medical, legal, financial, or government record, and it is not a compliance or records-management product. It does not give advice (legal, tax, immigration, insurance, or otherwise), and it is no substitute for an official document or for a qualified professional.

3Reminders, dates, and backups are your responsibility

If you skim past everything else, stop and read this part.

Reminders are a convenience, not a guarantee

PaperKeep can set local notifications and, if you want them, calendar events to warn you ahead of a date. Whether they actually fire is largely out of the app's hands: it depends on your device being on, notifications being enabled and not silenced, the state of iOS, your time zone, and Apple getting the notification to you. We do not guarantee that a reminder will be created, delivered, or shown on time, or that it will show at all. Tracking and meeting your own deadlines and renewals stays your responsibility.

Detected dates may be wrong

When PaperKeep suggests a date by reading a document, it uses automated text recognition that can misread, miss, or misinterpret a date. Always check the date yourself before relying on it. You are responsible for correcting any date the app suggests.

Choosing the document type matters

Every save requires a document type, and the type selected when you save controls how the scan is stored. Saving as Payment card stores only the expiry date, the card brand and bank name, the card colour, and at most the last 4 digits, and discards the photo. Saving a card under any other type stores the photo like a normal document. Automatic recognition may pre-select a type for you and can be wrong. You are responsible for confirming or correcting the selected type before saving, especially for payment cards and other sensitive documents.

Keep your own copies

PaperKeep is not a backup service, and it does not promise that your documents will survive, stay intact, or be recoverable. Things go wrong: a device fails, a file gets deleted by accident, the app or the OS hits an error, an iCloud sync stalls halfway. Keep your own copies (and the originals) of anything you cannot afford to lose, and do not let PaperKeep hold the only copy of an important document.

Security features have limits

Secure folders and locked documents use Apple's device authentication (Face ID, Touch ID, or passcode) to gate access within the app. This is a convenience and a deterrent. It is not certified encryption, and PaperKeep is not a security, vault, or data-protection product. Anyone who can unlock your device and authenticate as you may be able to open locked items. Do not rely on PaperKeep as your sole protection for highly sensitive material.

4Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) and capable of forming a binding contract to accept these Terms. The Service is intended for your personal use to organize your own documents.

5Apple App Store and your Apple Account

PaperKeep is distributed exclusively through Apple's App Store. Your download and use of the app is also subject to the Apple Media Services Terms and Conditions and the Apple Licensed Application End User License Agreement (EULA), available at apple.com/legal/internet-services/itunes/. Where these Terms conflict with the Apple App Store EULA, the Apple App Store EULA prevails for App Store distribution matters.

6License

Subject to your compliance with these Terms, Esprizzle grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use PaperKeep on Apple devices that you own or control, for personal, non-commercial purposes.

You may not: (a) modify, reverse engineer, decompile, or disassemble the app except where this is required by applicable law; (b) sublicense, resell, lease, rent, or distribute the app or your access to it; (c) remove or alter copyright, trademark, or proprietary notices; (d) use the app or its outputs as the basis for a competing service; or (e) automate or script the app's behavior except for the features the app itself offers.

7Free trial, subscription, and refunds

PaperKeep offers a 14-day free trial. After the trial, continued access to PaperKeep Pro features requires an auto-renewing subscription, processed through Apple's In-App Purchase. You can choose a yearly plan (US $7.99 per year) or a monthly plan (US $0.99 per month), or the local-currency equivalent shown to you.

  • Introductory offer: new subscribers who start the yearly plan before December 31, 2026 pay US $4.99 for the first year; the subscription then renews at the standard US $7.99 per year. Eligibility is determined by Apple.
  • The subscription automatically renews for successive periods (one year for the yearly plan, one month for the monthly plan) unless you cancel at least 24 hours before the end of the current period.
  • Your Apple Account is charged for renewal within 24 hours before the end of the current period at the then-current price.
  • You can manage or cancel the subscription, and turn off auto-renewal, at any time in your Apple Account settings (Settings → your name → Subscriptions). Cancelling stops future renewals; it does not retroactively refund the current period.
  • The price you saw at the time of purchase governs that purchase; prices may change for future renewals or new purchasers, and Apple will notify you of price increases as required.
  • Documents you already saved remain viewable on your device even if your subscription lapses; certain Pro features become unavailable until you renew.

Refund requests are handled by Apple. Submit them at reportaproblem.apple.com. Esprizzle does not process payments or refunds directly.

8iCloud sync

PaperKeep offers optional iCloud sync, which is off until you enable it. When enabled, your documents are synced through your own private iCloud account using Apple's CloudKit, so they appear on your other Apple devices. This data is stored in your iCloud, governed by Apple's terms; Esprizzle does not operate a server in this path and cannot access your synced documents. PaperKeep does not guarantee that sync will be timely, complete, or error-free, and sync depends on your Apple Account, your iCloud storage, and network conditions. See our Privacy Policy, Section 5.

9Acceptable use

You agree to use the Service only for lawful purposes and only with documents you have the right to scan, store, and process. You will not use PaperKeep in any way that:

  • Violates any law, regulation, or third-party right (including intellectual property or privacy rights).
  • Stores or processes another person's documents without authority to do so.
  • Attempts to interfere with the operation of the app or any service it interacts with (notably Apple's services).
  • Uses automated means to access the Service or circumvent access controls.

10Your content

The documents, folders, names, dates, notes, and other content you create in PaperKeep remain yours. Esprizzle does not claim ownership and does not retain a copy on any server we operate. We have no technical means to access your content, because we do not operate a server that receives it. If you enable iCloud sync, your content is handled by Apple's iCloud under your own account.

11Intellectual property

The PaperKeep app, source code, design, name, brand, logo, marketing materials, and website are owned by Esprizzle Inc. and are protected by copyright, trademark, and other intellectual property laws. The license in Section 6 does not transfer any ownership interest. PaperKeep™ and the PaperKeep logo are trademarks of Esprizzle Inc.

12Third-party services

The Service interacts with Apple's services (App Store, StoreKit, iCloud/CloudKit, and on-device frameworks) as described in our Privacy Policy. We do not control, endorse, or guarantee the availability, accuracy, or behavior of any third-party service. Your use of those services is governed by the respective provider's own terms.

13Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, Esprizzle Inc. disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, title, non-infringement, and quiet enjoyment.

Without limiting the foregoing, we do not warrant that:

  • Date detection will be accurate, complete, or timely. It can misread or miss dates. You must verify every date yourself.
  • Reminders or calendar events will be created, delivered, or shown on time, or at all.
  • Your documents will be preserved, complete, uncorrupted, or recoverable. Keep your own copies of anything irreplaceable.
  • iCloud sync will be timely, complete, or error-free.
  • The Service will be available, uninterrupted, or error-free, or that it is appropriate for any particular document or purpose.
  • Secure folders provide certified or guaranteed protection against access by someone who can authenticate on your device.

14Limitation of liability

Use the Service at your own risk

You expressly understand and agree that you use the Service at your sole risk, and that you are responsible for verifying your own important dates, meeting your own deadlines, and keeping your own copies of important documents.

To the maximum extent permitted by applicable law, Esprizzle Inc., its officers, directors, employees, affiliates, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, documents, profits, revenue, savings, goodwill, or other intangible losses, arising out of or in connection with your use of, inability to use, or reliance on the Service, including any missed deadline, lapsed document, expired passport, identity card, insurance, licence, or card, or any lost, corrupted, or unsynced document.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. Where the law of your jurisdiction does not allow such limitations, the limitations in these Terms apply to the maximum extent permitted by that law and not further.

Cap on monetary liability

To the maximum extent permitted by applicable law, in any case where Esprizzle's liability is not entirely excluded, the total cumulative liability of Esprizzle Inc. arising from or related to the Service, whether in contract, tort, statute, or otherwise, shall not exceed the greater of (i) the amount you actually paid to Esprizzle through Apple for your use of PaperKeep in the twelve months preceding the event giving rise to the claim, or (ii) ten US dollars (USD 10.00).

15Indemnification

You agree to indemnify, defend, and hold harmless Esprizzle Inc., its officers, directors, employees, affiliates, agents, suppliers, and licensors, from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of or inability to use the Service; (b) your violation of these Terms; (c) your violation of any law or any right of any third party; or (d) documents you scan, store, or process that you did not have the right to handle. This obligation survives termination of these Terms.

16Termination

You may stop using the Service at any time by deleting the app from your device. We may suspend or terminate your access if you materially breach these Terms. Sections that by their nature should survive termination will survive, including Sections 3, 10, 11, 13, 14, 15, 18, and 19.

17Changes to the Service and to these Terms

We continuously improve PaperKeep and may add, change, or remove features. We may also revise these Terms. The "Last updated" date at the top reflects the most recent revision. Material changes will be announced in the app and at paperkeep.esprizzle.com at least 14 days before they take effect. Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.

18Governing law

These Terms are governed by the laws of the State of Delaware, United States of America, without giving effect to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods is excluded. For consumers resident in a jurisdiction whose mandatory consumer-protection laws would apply notwithstanding this provision, those mandatory laws apply to the extent required.

19Dispute resolution

You and Esprizzle agree to first attempt to resolve any dispute informally by sending written notice to contact@esprizzle.com describing the dispute and the requested resolution. We will respond within thirty (30) days. If the dispute is not resolved within sixty (60) days of the notice, either party may pursue formal remedies. The state and federal courts located in Delaware shall have exclusive jurisdiction over any dispute arising out of these Terms or your use of the Service, except where a consumer's mandatory home-jurisdiction laws provide otherwise.

20Miscellaneous

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision is reformed only to the extent necessary to make it enforceable.

No waiver

Our failure to enforce any provision is not a waiver of that provision or of our right to enforce it later.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, sale of assets, or by operation of law.

Entire agreement

These Terms (together with the Privacy Policy and any third-party terms referenced here) constitute the entire agreement between you and Esprizzle concerning the Service and supersede any prior agreements or representations.
